Welcome to WebFreelancer. By using this website or hiring my services, you agree to the following terms and conditions. Please read them carefully before engaging my services or using this website.
I am Adnan Buksh, an independent professional operating as WebFreelancer. These Terms of Service govern your use of webfreelancer.in and any services provided through this website.
1. Services Provided
I, Adnan Buksh, provide the following professional services:
- Web design and development
- WordPress and WooCommerce development
- Custom WordPress plugin development
- SEO and digital marketing
- Website hosting setup and maintenance
- Website speed optimization
- WordPress security and malware removal
- Software support for client websites
Scope and Deliverables: The specific scope of work, deliverables, timelines, and project requirements will be agreed upon in writing (via email, proposal, or formal agreement) before work begins. Any changes to the scope must be documented and agreed upon by both parties.
No Unauthorized Work: I do not begin work without a confirmed proposal or agreement. Any work performed outside the agreed scope may be subject to additional charges.
2. Payment Terms
Deposit Requirement: A deposit is required before work begins. The deposit amount will be specified in the project proposal and typically ranges from 30% to 50% of the total project cost, depending on the project scope.
Final Payment: The final payment is due upon project completion and before final delivery of assets. For larger projects, milestone-based payments may be arranged and specified in the proposal.
Payment Methods: I accept payments via UPI, GPay, PhonePe, NEFT/RTGS, and other methods as agreed upon. All payment details will be provided in the invoice.
Ownership Transfer: Ownership of final designs, code, website content, or any deliverables transfers to the client only after full payment has been received. Until full payment is made, all work remains my property.
Late Payments: Payments not received within the agreed timeframe may result in project delays or suspension of services. Interest may be charged on overdue payments at a rate specified in the proposal or as permitted by applicable law.
3. Intellectual Property
Pre-Payment: All drafts, designs, code, concepts, templates, and work-in-progress materials remain my exclusive intellectual property until full payment is received. I retain the right to use these materials in my portfolio unless otherwise agreed.
Post-Payment: Upon full payment, the final delivered website, custom code, designs, and content created specifically for the project belong to the client. I grant the client full ownership of the final deliverables as specified in the proposal.
Third-Party Tools and Plugins: Any third-party tools, plugins, themes, or software used in the project are licensed separately and remain subject to their own terms and conditions. I do not transfer ownership of third-party intellectual property.
Retained Rights: I retain the right to use the code, techniques, and solutions developed during the project for future work, provided that client-specific content, branding, and confidential information are not disclosed.
Portfolio Use: Unless otherwise agreed in writing, I may showcase the completed project in my portfolio, case studies, and marketing materials. This includes screenshots, descriptions, and links to the live site. If you prefer that your project not be showcased, this must be communicated before the project begins.
4. Brand & Name Protection
Registered Identity: WebFreelancer™ and WebFreelancer are registered under UDYAM-MH-33-0266221 with the Government of India. The brand name and associated marks are protected intellectual property.
Domain Ownership: I own and operate the official domains webfreelancer.in and thewebfreelancer.com. Any unauthorized use of my brand, logo, domain name, or content is strictly prohibited.
Prohibited Actions: You may not:
- Use my brand name, logo, or domain without explicit written permission
- Register domain names or social media handles that imitate or are confusingly similar to my brand
- Copy, reproduce, or republish my website content without authorization
- Represent yourself as affiliated with WebFreelancer without permission
- Use my brand in a way that may cause confusion or deception
Legal Enforcement: Unauthorized use of my brand identity may result in legal action, including but not limited to claims of trademark infringement, passing off, unfair competition, and deceptive trade practices under applicable Indian and international law.
5. Client Responsibilities
To ensure successful project delivery, you agree to:
- Provide accurate, complete, and timely information relevant to the project
- Respond promptly to requests for feedback, approvals, or content
- Review deliverables in a timely manner and provide consolidated feedback
- Ensure you have the necessary rights to any content, images, or materials you provide
- Maintain backups of your data and content before providing access to your website
- Comply with all applicable laws and regulations in connection with your website and business
Delay Caused by Client: Any delays caused by the client’s failure to provide materials, feedback, or approvals in a timely manner may result in project delays. Extended delays may result in additional charges or rescheduling fees.
6. Project Revisions & Change Requests
Included Revisions: The project proposal will specify the number of revision rounds included. Typically, 2-3 rounds of revisions are included, depending on the project scope.
Scope Changes: Any changes to the project scope after work has begun may require a revised estimate and timeline. I will provide a change order for your approval before proceeding with work outside the original scope.
Additional Revisions: Additional revisions beyond those specified in the proposal may incur additional charges, to be agreed upon before work is performed.
7. Hosting, Third-Party Services & SEO
Hosting and Uptime: Where I provide website hosting or maintenance services, I will make reasonable efforts to ensure uptime and reliability. However, I am not responsible for:
- Hosting uptime or outages caused by hosting providers or external factors
- Issues arising from third-party services, plugins, or tools
- Downtime resulting from server failures, cyber attacks, or other events outside my control
SEO Results: I provide professional SEO services based on industry best practices. However, I do not guarantee specific search engine rankings, traffic volumes, or conversion rates. Search engine algorithms are dynamic and beyond my control.
Third-Party Tools: Any third-party tools, plugins, or services recommended or integrated during the project are subject to their own terms, conditions, and performance. I am not responsible for their functionality or reliability.
8. Limitation of Liability
To the fullest extent permitted by applicable law:
- I am not liable for indirect, incidental, consequential, or punitive damages
- I am not responsible for loss of revenue, profits, data, or business opportunities
- I am not liable for search engine ranking changes or algorithm updates
- I am not responsible for the performance or security of third-party tools or services
- I am not liable for damages arising from delays, errors, or interruptions in service
Maximum Liability: My total liability for any claim arising from or related to my services shall not exceed the total amount paid by you for the specific service giving rise to the claim.
9. Confidentiality
I treat all client information as confidential. I will not disclose:
- Business strategies, plans, or proprietary information
- Financial information or data
- Customer or client data provided during the project
- Project details, scope, or deliverables without permission
This obligation does not apply to:
- Information that is or becomes publicly available
- Information required to be disclosed by law
- Information that is independently developed without using your confidential information
10. Warranties & Disclaimers
My Commitment: I perform services with reasonable skill and care, consistent with industry standards for freelance web development and digital marketing.
No Implied Warranties: Except as expressly provided in these Terms, I provide services “as is” without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
Third-Party Content: I do not warrant or endorse any third-party tools, content, or services linked to or referenced on my website.
11. Termination
By Either Party: Either party may terminate a project in writing if the other party materially breaches these Terms and fails to remedy the breach within 14 days of receiving written notice.
By Client: You may cancel a project before work begins by providing written notice. Deposits are generally non-refundable for work already performed or costs incurred.
By Service Provider: I reserve the right to terminate services if:
- You fail to make payment as agreed
- You provide misleading or false information
- You engage in illegal or unethical activities related to the project
- Your conduct makes continuation of the project impossible or impractical
Effect of Termination: Upon termination, you will pay for all work performed up to the date of termination. Upon full payment, any deliverables completed to date will be provided to you.
12. Dispute Resolution & Governing Law
Governing Law: These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from or relating to these Terms or my services shall be subject to the exclusive jurisdiction of the courts of Mumbai, India.
Dispute Resolution: In the event of a dispute, both parties agree to attempt to resolve the matter through good-faith negotiations before pursuing formal legal action.
Legal Costs: In any legal proceeding arising from these Terms, the prevailing party may be entitled to recover reasonable legal costs and expenses, subject to applicable law.
13. Changes to These Terms
I may update these Terms of Service from time to time to reflect changes in my services, legal requirements, or business practices. The updated version will always be posted on this page with a revised effective date.
Material changes: If I make material changes to these Terms, I will notify clients through appropriate channels. Continued use of my services after such changes constitutes acceptance of the updated Terms.
